Terms of Service

Terms and conditions governing our luxury yacht charter services and agreements in Singapore.

1. Agreement and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Iridescent Trail ("Company," "we," "our," or "us") for the provision of luxury yacht charter services in Singapore waters.

By booking our services, signing a charter agreement, or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our services.

2. Service Description

Iridescent Trail provides luxury yacht charter services including but not limited to:

  • Corporate event hosting and venue services
  • Team building and corporate retreat programs
  • Client entertainment and hospitality services
  • Product launch events and marketing activations
  • Catering, entertainment, and event coordination
  • Professional crew and maritime services

All services are subject to availability, weather conditions, and maritime authority regulations.

3. Booking and Reservations

3.1 Booking Process

  • All bookings must be confirmed in writing with a signed charter agreement
  • Provisional bookings are held for 7 days pending confirmation
  • Final confirmation requires signed agreement and deposit payment
  • Charter details may be modified subject to availability and additional charges

3.2 Minimum Age and Authority

  • Primary charterer must be at least 21 years of age
  • Charterer must have authority to enter into binding agreements
  • Corporate bookings require authorized signatory confirmation

4. Payment Terms

4.1 Payment Schedule

  • Deposit: 50% of total charter fee due upon booking confirmation
  • Final Payment: Remaining balance due 14 days before charter date
  • Additional Services: Extra services payable upon completion

4.2 Accepted Payment Methods

  • Bank transfers (preferred method)
  • Corporate checks with prior approval
  • Credit cards (subject to processing fees)
  • Payment terms for corporate accounts may be negotiated separately

4.3 Late Payments

Late payments may result in charter cancellation and forfeiture of deposits. Outstanding balances may be subject to interest charges at 1.5% per month.

5. Cancellation and Refund Policy

5.1 Client Cancellation

  • More than 30 days: 75% refund of payments made
  • 15-30 days: 50% refund of payments made
  • 7-14 days: 25% refund of payments made
  • Less than 7 days: No refund (full forfeit)

5.2 Company Cancellation

  • Weather-related cancellations: Full refund or rescheduling option
  • Mechanical issues: Full refund or alternative vessel arrangement
  • Force majeure events: Refund less non-recoverable costs

5.3 Modification Fees

Charter modifications made within 14 days may incur administrative fees and additional costs for rearranged services.

6. Charter Conditions and Responsibilities

6.1 Guest Count and Vessel Capacity

  • Guest numbers must not exceed vessel's certified capacity
  • Final guest count required 48 hours before charter
  • Excess guests may be refused boarding for safety compliance

6.2 Conduct and Behavior

  • Guests must comply with crew instructions and safety requirements
  • Inappropriate conduct may result in charter termination without refund
  • Damage to vessel or equipment will be charged to charterer
  • Smoking restrictions apply as designated by crew

6.3 Prohibited Items and Activities

  • Illegal drugs and substances are strictly prohibited
  • Glass containers may be restricted in certain areas
  • Pets require prior approval and additional arrangements
  • Swimming and water activities subject to crew approval

7. Safety and Maritime Compliance

7.1 Safety Requirements

  • All vessels comply with Maritime and Port Authority of Singapore regulations
  • Safety equipment and procedures are mandatory
  • Emergency drills may be conducted as required
  • Crew decisions on safety matters are final and non-negotiable

7.2 Weather and Sea Conditions

  • Charter operations subject to weather and sea conditions
  • Captain has final authority on sailing decisions
  • Alternative arrangements may be offered for severe weather
  • Partial refunds may apply for significantly shortened charters

8. Limitation of Liability

8.1 Company Liability Limits

Our liability is limited to the total charter fee paid. We are not liable for:

  • Indirect, consequential, or special damages
  • Lost profits or business opportunities
  • Personal injury not caused by our negligence
  • Loss or damage to personal property
  • Delays caused by weather, mechanical issues, or force majeure

8.2 Client Indemnification

Client agrees to indemnify and hold harmless the Company from claims arising from:

  • Guest conduct and behavior during charter
  • Violation of maritime laws or regulations
  • Damage caused by client or guests
  • Third-party claims related to charter activities

9. Insurance and Risk

9.1 Company Insurance

  • All vessels carry comprehensive marine insurance
  • Public liability coverage as required by law
  • Professional indemnity insurance for services provided

9.2 Client Insurance Recommendations

We strongly recommend clients obtain appropriate insurance coverage including:

  • Event cancellation insurance
  • Personal accident and medical coverage
  • Personal property insurance
  • Corporate liability insurance for business events

10. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including but not limited to:

  • Natural disasters, severe weather, or maritime emergencies
  • Government actions, regulations, or port closures
  • Labor strikes, civil unrest, or public health emergencies
  • Terrorism, war, or other security threats
  • Technical failures of essential infrastructure

11. Intellectual Property

11.1 Company Property

  • All website content, logos, and materials are our property
  • Photography and videography during charters may be used for marketing
  • Clients may request restrictions on image usage

11.2 Client Content

  • Clients retain rights to their proprietary information and materials
  • Permission granted for operational use during charter services
  • Confidential information will be protected as agreed

12. Data Protection and Privacy

Personal data collection and processing are governed by our Privacy Policy, which incorporates Singapore's Personal Data Protection Act (PDPA) requirements. By using our services, you consent to data processing as described in our Privacy Policy.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by Singapore law. Any disputes shall be subject to the exclusive jurisdiction of Singapore courts.

13.2 Alternative Dispute Resolution

  • Good faith negotiation is required before formal proceedings
  • Mediation through Singapore Mediation Centre may be pursued
  • Arbitration may be agreed upon for commercial disputes

14. Amendments and Updates

We reserve the right to modify these Terms at any time. Material changes will be communicated through:

  • Email notifications to registered clients
  • Website announcements and updated posting dates
  • Contract amendments for existing bookings if necessary

Continued use of services constitutes acceptance of updated Terms.

15. Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect. Invalid provisions will be interpreted to achieve their intended purpose to the maximum extent permitted by law.

16. Entire Agreement

These Terms, together with the specific charter agreement and our Privacy Policy, constitute the entire agreement between parties. No oral agreements or representations are binding unless confirmed in writing.

All operations comply with applicable maritime, safety, and commercial regulations.
